Amendment nº 1 to the Cooperation Agreement signed on September 3 ^rd of 2012 between the Universitat de Girona and Fundação de Amparo à Pesquisa do Estado de São Paulo.

FUNDAÇÃO DE AMPARO À PESQUISA DO ESTADO DE SÃO PAULO - FAPESP, established by Law nº 5.918, of October 18th, 1960, with headquarters at Rua Pio XI, 1500, Alto da Lapa, São Paulo, SP, enrolled in CNPJ/MF under nº 43.828.151/0001-45, herein represented according to article 11, “a” of Law nº 5.918, combined with its General Rule approved by Decree n° 40.132, of May 23, 1962, represented by its President, Prof. Dr. CELSO LAFER, in the exercise of the powers delegated by Act of the Governor of the State of São Paulo, published in the Official Gazette of the State, of June 21, 2010, hereinafter referred to as FAPESP, and the UNIVERSITAT DE GIRONA, hereinafter referred to as UdG, represented by Anna Maria Geli de Ciurana, Rector of the University of Girona (UdG), acting for and on behalf of this University as established in Decree 186/2009, dated 1 December, appointing the rector of the University of Girona (DOGC [Official Journal of the Generalitat of Catalonia] nr. 5519, dated 3 December 2009), and in accordance with that which is established in articles 93 and 97 of the Statutes of the University of Girona (ACORD GOV/94/2011, dated 7 June, by approving the amendment to the Statutes of the University of Girona and providing for publication of the full text - DOGC núm.5897, dated 9 June 2011) by Decree 186/2009, dated 1 December, appointing the rector of the University of Girona (DOGC no. 5519, dated 3 December 2009), hereinafter referred to as "Parties”:RECOGNIZING the positive results of the partnership between FAPESP and UDG;

RECOGNIZING that the Signatories wish to continue this partnership, established in the Cooperation Agreement signed by the Signatories on September 3^rd, 2012, publishing new calls for proposals;

AGREE to change the duration of the Agreement by changing the clause addressed below, as follows:

1) Restate the first paragraph of Clause Seven, replacing it with the following:

Clause 7. Duration – “This Cooperation Agreement shall be valid for a period of five years from the date of its signing, and will thus remain in effect until September 03, 2016. The Signatories may terminate this Agreement by written notice, with a period of six months in advance”.

2) Except as specifically amended hereby, the terms and conditions of the Cooperation Agreement remain in full force and effect.

Thereby, in mutual consent of the Signatories, this Amendment is signed in two copies, in English and Portuguese, both texts being equally authentic.
