Amendment no. 1 to Memorandum of Understanding (“Amendment 1”) Versão em português
This Amendment 1 is made effective as of 10 September 2018 and amends a memorandum of understanding dated 25 September 2013 (the "MoU") between:
IMPERIAL COLLEGE OF SCIENCE TECHNOLOGY AND MEDICINE, a body corporate established by Royal Charter with registration number RC000231, whose address is South Kensington Campus, Exhibition Road, London, United Kingdom SW7 2AZ, represented by its Provost Prof. JAMES STIRLING (“Imperial College”); and
The SÃO PAULO RESEARCH FOUNDATION - FAPESP, established by Law nº 5.918, of October 18th, 1960, with headquarters at Rua Pio XI, 1500, Alto da Lapa, São Paulo, SP, enrolled in CNPJ/MF under nº 43.828.151/0001-45, herein represented according to article 11, “a” of Law nº 5.918, combined with its General Rule approved by Decree n° 40.132, of May 23, 1962, represented by its President, Prof. Dr. JOSÉ GOLDEMBERG, in the exercise of the powers delegated by Act of the Governor of the State of São Paulo, published in the Official Gazette of the State on 22nd August 2015 (“FAPESP”),
Each a party (“Party”) and together the parties (“Parties”).
WHEREAS:
(A) Imperial College and FAPESP entered into the MoU to:
• Promote cooperation in scientific and technological research between the United Kingdom and the State of São Paulo, Brazil; continue strengthening the links between the scientific communities of both countries; and encourage new forms of collaboration between its research centres; and
(B) Imperial and FAPESP wish to amend the MoU on the terms and conditions set out below.
IT IS HEREBY AGREED AS FOLLOWS:
In accordance with clause 6.1 of the MoU, the Parties agree to:
1. Extend the duration of the MoU for an additional five (5) years from when the MoU was due to expire and therefore, the MoU shall now terminate on 24 September 2023;
2. Delete and replace the final paragraph above the signature block of the MoU with the following:
Signed in 10 September 2018 in two original copies in English and Portuguese, both texts being equally authentic, and presenting the same content and form. For the avoidance of doubt, the Parties agree that the English version shall take precedence.
3. All other definitions shall be the same as in the MoU, unless indicated otherwise; and
4. All other terms of the MoU remain unchanged and in full force and effect.
