COOPERATION AGREEMENT AMONG THE BRAZILIAN FEDERAL AGENCY FOR SUPPORT AND EVALUATION OF GRADUATE EDUCATION (CAPES/MEC), THE STATE OF SÃO PAULO RESEARCH FOUNDATION (FAPESP), THE TRUSTEES OF COLUMBIA UNIVERSITY IN THE CITY OF NEW YORK (CU) AND THE COMMISSION FOR EDUCATIONAL EXCHANGE BETWEEN THE UNITED STATES OF AMERICA AND BRAZIL (FULBRIGHT COMMISSION) FOR THE ESTABLISHMENT OF THE FULBRIGHT/CAPES/FAPESP/COLUMBIA UNIVERSITY: DR. RUTH CORRÊA LEITE CARDOSO PROGRAM FOR VISITING FACULTY AT COLUMBIA UNIVERSITY IN THE CITY OF NEW YORK, USA, ENCOMPASSING TEACHING AND/OR RESEARCH ACTIVITIES IN THE HUMANITIES AND SOCIAL SCIENCES.

The Brazilian Federal Agency for the Support and Evaluation of Graduate Studies, CAPES, a public foundation, created by Law No. 8405 of January 9, 1992, herein represented by its President, Mr. Jorge Almeida Guimarães, the bearer of Identity Card no. 5.579.770-2 issued by SSP/SP and The State of São Paulo Research Foundation (FAPESP), a public foundation, formally established by the Sao Paulo State Law 5.918, of 18.10.1960, herein represented by the President of its Superior Board,Celso Lafer, the bearer of Identity Card no.1.809.257, issued by SSP/SP, The Trustees of Columbia University in the City of New York (CU), a New York non-profit corporation, herein represented by its Provost, John Coatsworth, and the Commission for Educational Exchange between the United States of America and Brazil (Fulbright Commission), a binational commission, created by the Agreement for Educational and Cultural Exchange Programs done in Brasilia on May 27, 2008, represented in this agreement by its Chairperson Counselor John Matel, are in agreement to establish THE FULBRIGHT/CAPES/FAPESP/COLUMBIA UNIVERSITY: DR. RUTH CORRÊA LEITE CARDOSO PROGRAM FOR VISITING FACULTY, hereinafter called the PROGRAM.

CLAUSE ONE – OBJECT

The Program will support the participation of scholars and/or researchers based in Brazil (Brazilian scholars and/or researchers) in teaching and researching activities at Columbia University, in the City of New York, USA.

CLAUSE TWO – OBJECTIVES OF THE PROGRAM

The objectives of the PROGRAM are:

SUBCLAUSE FIRST

To call attention in the American University and research environment to the contributions of Brazilian scholars to the Human and Social Sciences.

SUBCLAUSE SECOND

To emphasize the commitment of the parties in promoting the highest level of scholarly ties and dialogue and in broadening mutual understanding between their respective cultures and societies.

SUBCLAUSE THIRD

To honor the memory of the distinguished Prof. Dr. Ruth Corrêa Leite Cardoso, alumna of FAPESP and the Fulbright Commission at Columbia University in 1988, a renowned and distinguished Brazilian scholar, in particular in the Human and Social Sciences.

CLAUSE THREE – THE SELECTION

To achieve these goals, Columbia University will each year appoint one candidate from a short list of two candidates, selected by CAPES, FAPESP and the Fulbright Commission, as a visiting faculty member, with agreement from the other PARTIES as set forth below. The short list of two candidates will be previously approved by the J. William Fulbright Foreign Scholarship Board (FSB). This selection will be made as an open competition, and will focus on a Brazilian mid-career scholar and/or researcher who will have to be affiliated with a Brazilian institution of higher education and/or research institution. The awardee will lecture and/or research at the Institute of Latin American Studies at Columbia University in the City of New York, USA.

SUBCLAUSE FIRST

Each year, a thematic area will be chosen by the PARTIES within the Humanities and Social Sciences, in accordance with academic priorities and optional thematic areas established by Columbia University, and publicize this in a specific call for proposals.

SUBCLAUSE SECOND

The PROGRAM will award funding for one new visiting faculty member each year, with a duration of one academic term or one academic year of Columbia University. Subject to its internal procedures for making such appointments, Columbia will appoint the visiting faculty member each year for a period of up to nine months as part of the PROGRAM. The visiting faculty will be expected to teach one general course in each academic term which will be open to graduate and undergraduate students at Columbia University and also to propose an advanced seminar on a specific research topic to be defined. The advanced seminar could be offered in the Portuguese language. The subjects covered by these courses will be determined by the visiting faculty, subject to the normal processes within his or her host department and School at Columbia for approving new courses.

CLAUSE FOUR – RESPONSIBILITIES OF THE PARTIES

To achieve the goals of the PROGRAM, the PARTIES will meet the commitments specified below:

SUBCLAUSE FIRST – RESPONSIBILITIES OF CAPES

a) Help prepare the annual call for proposals and broadly promote the PROGRAM. A draft annual call for proposals and any promotional material will be approved in writing by all the PARTIES before release;

b) Participate in the selection of the candidates to be recommended, as set forth below;

c) Provide a stipend in the amount of US$ 15,000 (fifteen thousand US dollars) for one academic year or 50% of this amount for one academic term, in the event the selected scholar and/or researcher is affiliated with an institution of higher education and/or research in the State of São Paulo;

d) Provide round trip ticket in economy class;

e) In the event the selected scholar and/or researcher is affiliated with an institution of higher education and/or research institution in another state of Brazil, provide:

e.1. A stipend in the amount of US$ 18,000 (eighteen thousand US dollars) for one academic year or 50% of this amount for one academic term; and

e.2 Settling-in allowance in the amount of US$ 2,000 (two thousand US dollars) for one academic year or 50% of this amount for one academic term.

SUBCLAUSE SECOND – RESPONSIBILITIES OF FAPESP

a) Help prepare the annual announcement and broadly promote the PROGRAM. A draft annual announcement and any promotional material will be approved in writing by all the PARTIES before release;

b) Participate in the selection of the candidates to be recommended, as set forth below;

c) If and only if the selected scholar and/or researcher is affiliated with a higher education and/or research institution in the State of São Paulo, provide:

c.1 A stipend in the amount of US$ 15,000 (fifteen thousand US dollars) for one academic year or 50% of this amount for one academic term;

c.2 A settling-in allowance in the amount of US$ 2,000 (two thousand US dollars) for one academic year or 50% of this amount for one academic term.

SUBCLAUSE THIRD – RESPONSIBILITIES OF COLUMBIA UNIVERSITY (CU)

a) Broadly promote the PROGRAM, define the areas of academic priority prior to the preparation of the annual call for proposals, and participate and oversee the preparation of the annual call;

b) Select the candidate to be recommended in the short list, as set forth below;

c) Provide the grantee during the period of up to nine months of scholarship with the following:

c.1 Free housing in a one-bedroom apartment on or close to the campus of Columbia University in New York City. Columbia will make reasonable efforts to provide the visiting faculty member with a furnished apartment in Butler Hall, subject to the availability of space. The Institute of Latin American Studies (ILAS) at Columbia University will be responsible for paying the rent on that apartment. If an apartment in Butler Hall is not available, ILAS will make reasonable efforts to arrange for the lease of an apartment near the campus, and ILAS will pay the lease for such space. In accordance with United States tax regulations, the rent may be treated as income to the visiting faculty.

c.2 Access to the facilities and services of the University normally provided to visiting faculty, such as office space and internet connection; where applicable, access to laboratories; access to libraries and any other courtesies and amenities normally provided to the academic community to ensure the success of the teaching and researching activities undertaken by the grantee. Certain routine fees may be charged to the visiting faculty (such as a rental fee for lockers in Columbia’s health facility, if desired by the faculty). The visiting faculty will not be eligible to participate in the fringe benefits programs of the University.

c.3 The estimated amount of these benefits described in items c.1 and c.2 above is approximately US$30,000 (thirty thousand U.S. dollars) for one academic year or 50% of this amount for one academic term. The visiting faculty member will be solely responsible for any taxes that may be payable by him or her based on the housing provided through this agreement or otherwise related to this PROGRAM.

SUBCLAUSE FOURTH – RESPONSIBILITIES OF FULBRIGHT COMMISSION

a) Help prepare the annual announcement and broadly promote the PROGRAM. A draft annual call for proposals and promotional material will be approved in writing by all the PARTIES before release;

b) Participate in the selection of the candidates to be recommended, as set forth below;

c) Provide health insurance for the grantee in the U.S.A.;

d) If the selected scholar and/or researcher is affiliated with a higher education and/or research institution in the State of São Paulo, provide:

d.1 A stipend in the amount of US$ 15,000 (fifteen thousand US dollars) for one academic year or 50% of this amount for one academic term;

e) In the event the selected scholar and/or researcher is affiliated with an institution of higher education and/or research institution IN ANOTHER STATE OF BRAZIL, provide:

e.1 A stipend in the amount of US$ 27,000 (twenty seven thousand US dollars) for one academic year or 50% of this amount for one academic term;

f) Provide the grantee with the necessary information to get the J-1 Visa to enter the United States of America for the duration of their program, with no issuing fees.

f.1 This includes the preparation by the cooperating agency of the DS-2019 form necessary to secure the J-1 visa.

CLAUSE FIVE – REPRESENTATION

In order to coordinate the activities of this Agreement, CAPES, FAPESP, Columbia University and Fulbright Commission will create a Steering Committee of the PROGRAM, composed of a principal and an alternate representatives from CAPES, a principal and an alternate representative from FAPESP, a principal and an alternate representative from Columbia University, and a principal and an alternate representative from Fulbright Commission.

SUBCLAUSE FIRST

It is the responsibility of the Steering Committee to resolve any technical, administrative or financial questions that may arise during the execution of this Agreement, as well as to oversee its overall functioning, consulting with their respective supervisors of each institution, if the need arises.

CLAUSE SIX – SELECTION OF THE CANDIDATES

The calls for teaching and research proposals and the selection of the grantee who will be the beneficiary of the support offered by the PROGRAM will be made in accordance with the following procedures:

a) CAPES, FAPESP and the Fulbright Commission will agree unanimously upon a short list of two candidates that meet the criteria of all the Parties to this Agreement for the evaluation of the Board. After the approval of the Board, Columbia will make the final selection between the two candidates. In the unlikely event that a pool of candidates cannot be selected in any particular year, the Parties will have no liability to each other, but will attempt to reach a decision in the following year during the term of this Agreement;

b) For the invitations for proposals a Public Call for Teaching and Researching Proposals will be annually published and broadly promoted with a deadline for submission of complete applications by the end of September of the year prior to the fellowship tenure;

c) The Public Call for Teaching and Researching Proposals will be prepared by the Steering Committee and promoted by the PARTIES;

c.1. Each year Columbia, with input from the other members of the Steering Committee, will choose a thematic area in the Humanities and Social Sciences, within which the appointment as the visiting faculty will be made. The thematic area will be announced in the annual specific Call for Applications;

d) After the deadline for submission of complete applications, CAPES, FAPESP and the Fulbright Commission will meet to make the pre-selection of the candidates and to review the adherence of the proposals to the objectives of the PROGRAM;

e) The proposals approved in the pre-selection will be forwarded for peer review by CAPES, FAPESP and the Fulbright Commission.

f) With input from the peer review results, CAPES, FAPESP and the Fulbright Commission will prepare the short list of the recommended two candidates approved and recommended unanimously.

g) With the list of the recommended candidates sent by CAPES, FAPESP and the Fulbright Commission, the J. William Fulbright Foreign Scholarship Board (FSB) will give approval to the candidates;

h) From the list of final candidates selected by the J. William Fulbright Foreign Scholarship Board (FSB), Columbia University will choose one scholar for its faculty appointment and an alternate;

i) Final selection and notification of selected candidate(s) is to be completed by the end of December of the year prior to the fellowship tenure.

CLAUSE SEVEN – THE ADMINISTRATION OF THE PROGRAM

The FULBRIGHT COMMISSION will carry out the administration of the PROGRAM in adherence to the Policies of the J. William Fulbright Foreign Scholarship Board (FSB).

CLAUSE EIGHT – THE FINANCIAL SOURCES

The funds allocated to meet the expenses committed by CAPES in this Agreement shall be taken from CAPES regular budget.

SOLE SUBCLAUSE - The exchange rate that will used to exchange the Brazilian currency (reais) of the amounts to be disbursed by the PARTIES, concerning the estimated amounts in U.S. dollars, will be the official rate adopted by the institution on the date of the disbursement to the beneficiary.

CLAUSE NINE – EFFECTIVE DATE

This Agreement will become effective for a period of five years, as of the date of its signature and shall run from July 1st, 2014 to June 30th, 2019, confirming any acts since the expiration of the previous agreement, ended in December of 2013.

CLAUSE TEN – MODIFICATIONS

This Agreement may be amended by addenda, with the appropriate justifications proposed by any of the PARTIES, at least thirty days in advance of the implementation of proposed change, given that it is within the period of duration of this Agreement. The addenda must be subscribed to by all PARTIES.

SOLE SUBCLAUSE – Any addendum to this Agreement proposing change of its object, shall be forbidden, the act will be null and the responsibility imputed to its agent.

CLAUSE ELEVEN – TERMINATION AND RESCISSION

This Agreement may be terminated or rescinded, at any time, by any of the parties, provided that any of the parties officially notifies the others at least 60 (sixty) days in advance, of its intention to terminate it. It will be assured that, in no circumstances will the termination or rescission of this agreement result in termination of any existing commitment assumed before third parties, liquidated the financial compromise between the parties, credited equally the benefits acquired during the period.

SOLE SUBCLAUSE – Noncompliance with any of the assumed clauses and subclauses of this agreement shall result in its rescission and the imputation according to the law, independently of judicial or extra-judicial notifications or interpellations.

CLAUSE TWELVE – THE FINAL DISPOSITIONS

The parties shall not be responsible for total or partial failure to fulfill their obligations under this Agreement, if the failure is caused by any force majeure, such as natural disasters, civil strike, wars or any other event that is clearly outside the control of the parties.

SOLE SUBCLAUSE – If any circumstances not foreseen in this Agreement arise, the so called cases omissa, should be resolved administratively among the parties, respecting their objectiives and their respective legal frameworks.

CLAUSE THIRTEEN – PUBLICATION

The publication of the abstract of the instrument of this Agreement in the official Brazilian press is a mandatory requirement for its effectiveness. It shall be the responsibility of CAPES to arrange for its publication until the fifth working day of the following month of the signature of this Agreement, which might occur within 20 (twenty) days counting from that date, in accordance to what is established in article 17, of IN/STN no. 01/97 and sole paragraph of the article 61 of Law no. 8.666/93.

And as proof of having been so agreed to, the participants sign this instrument in four copies, in Portuguese and in English, all texts being equally authentic and valid, so that it may have legal effect, in the presence of two witnesses.
